General Information

These General Terms and Conditions (GTC) apply to all business relationships between Taughtful and our customers.

They govern the provision of services in the field of creating online courses for subject matter experts.

Any deviating, conflicting, or supplementary GTC of the customer shall not become part of the contract unless their validity is expressly agreed to in writing.

Contractual Subject

The subject of the contract is the creation of online courses for subject-matter experts.

The services include the design, creation, provision, and marketing of online courses tailored to the specific needs and requirements of the customer.
Conclusion of the Contract

The contract is only concluded upon written confirmation of an offer by the customer or through an online booking via our website.

By confirming or booking, the customer accepts these terms and conditions.
Scope and Description of Services

Our services include the creation of online courses that are specifically tailored to the customer's requirements.

The exact scope and production requirements of the courses are specified in the individual offer.

Taughtful will provide the customer with regular information on the progress of production and to involve the customer in all relevant phases of production.

Customer Obligations

The customer is obliged to provide all necessary information and materials required for the creation of the online courses in a timely manner and to set aside time for course recordings.

This includes the timely provision of feedback.

Payments must be made on time in accordance with the agreed terms.

The customer shall appoint up to two project managers who are authorised to approve the project at acceptance deadlines and submit change requests.

Failure to fulfil these obligations may result in a delay in the provision of services by Taughtful.
Payment Terms

The remuneration for our services is based on the individual offer.

Invoicing takes place after completion of the service or in agreed instalments. If the customer requests changes during production that exceed the scope of the original offer, Taughtful will inform the customer of any additional costs incurred.

Additional costs are to be borne by the customer.

Payments are due within 14 days of invoicing, unless agreed otherwise in writing. We accept bank transfers and PayPal payments as methods of payment.

Delivery

Delivery and service times are agreed individually and specified in the offer.

If delays occur that are beyond our control (e.g. force majeure, unavailability of third-party spaces and services, or delays caused by the customer), the delivery and service time shall be extended accordingly.
Warranty & Liability

We guarantee that our services comply with the agreed specifications.

Should defects occur, these must be reported by the customer in writing without delay. In the event of defects that are not within the scope of the agreed design freedom, the client has the right to a one-time rectification.

Taughtful is liable for defects and other additional claims up to the amount of the agreed net production price.

Further claims by the customer are excluded, unless they are based on harmful intent or gross negligence.
Terms of use and copyrights

Taughtful retains the copyright to the online courses created, as well as the right to use parts of the online courses for its advertising purposes.

By paying the full production price, the customer receives an unrestricted right of use for the agreed purpose in terms of time, location, and content.

The customer is free to distribute the online courses on other platforms that were not part of the launch plan.

Data Protection

We process the customer's personal data in accordance with the statutory provisions. For more information, please refer to our privacy policy.
Confidentiality

Both parties undertake to treat all information exchanged within the scope of the cooperation as confidential and to use it only for the agreed purpose.

The customer may request an NDA, if the course includes confidential information or trade secrets.
Interruption or Termination of Contract

The contract shall run for the agreed term and shall be automatically extended for the same term unless one of the parties wishes to withdraw from the contract.

In such cases, payment for all work undertaken by Taughtful up to that point shall be due. Taughtful shall endeavour to keep the termination costs as low as possible in cooperation with the customer.

Storage and transfer of data

The contractor shall store the final video data, as well as the associated raw and project data, for a period of up to two years after project completion.

Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Stuttgart.

Should any provision of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
Changes to the General Terms and Conditions

We reserve the right to amend these General Terms and Conditions at any time.

Amendments will be communicated to the customer in writing and will come into effect one month after notification, unless the customer objects.
